Nixon Peabody's Venture Capital/Private Equity Practice includes more than 25 attorneys who provide sophisticated counsel to venture capital and private equity funds and investors. With broad experience in complex financing transactions and corporate business support, we bring together an interdisciplinary team experienced in all areas of corporate finance, business counseling, tax, ERISA, securities, real estate, labor and employment, technology and intellectual property and litigation. We provide practical, timely advice and assistance in organizing and structuring investment funds and closing all types of private equity transactions.
We serve as fund counsel to a number of investment funds, and in recent years have closed a significant number of new private equity funds for these clients with total capital raised exceeding $5 billion. We work closely with clients to provide introductions to prospective investors, draft business plans, structure financing terms, and provide counsel on a wide range of operating and management issues. Since we represent both funds and investors, we have a breadth and depth of practice on key issues and are able to advise clients on current market terms. We handle a variety of financing transactions for technology, communications and biotech companies, including public offerings, traditional venture capital equity financings, research and development limited partnerships, mergers and acquisitions as well as corporate partnering agreements.
