David M. Barbash is a Partner in Nixon Peabody’s Business Department. His practice is focused on representing public and private companies in mergers and acquisitions, venture capital financing, and strategic alliances, as well as advising clients on general corporate and securities matters. Mr. Barbash’s practice also includes representing venture capital firms in public and private placements. Mr. Barbash is a frequent lecturer on general corporate matters, including issues relating to mergers and acquisitions and venture capital financing. Prior to joining the firm, Mr. Barbash practiced law with major law firms located in New York and Connecticut. Mr. Barbash received his B.A. from Connecticut College, and his J.D. from the University of Virginia Law School, J.D. He is admitted to practice in Massachusetts, Connecticut and New York, and is a member of the Boston and Massachusetts Bar Associations

While the Sarbanes–Oxley Act of 2002 was enacted to ensure that public companies would institute “best practices” in corporate governance and related matters, the impact of this statute has also been felt by private companies. In the wake of the passage of this statute, many lenders, insurers and VC investors are requiring private companies to implement many of the “best practices” now required of public companies. In his talk, Mr. Barbash will focus on the reasons that private companies need to be aware of Sarbanes-Oxley and changes in corporate governance that many private companies are or should consider instituting in response to this legislation.
