Nixon Peabody’s Venture & Technology Practice includes nearly 50 attorneys who provide sophisticated counsel to venture capital and private equity funds, investors, and technology companies. With broad experience in complex financing transactions and corporate business support, we bring together an interdisciplinary team experienced in all areas of corporate finance, business counseling, corporate governance, securities, tax, ERISA, labor and employment, technology and intellectual property, and litigation. In the December 2002 survey of leading law firms, we were ranked 7th nationally in terms of the number of private equity and venture capital funds negotiated and structured on behalf of general partners and limited partners, and 18th nationally in terms of the number of private equity and venture capital deals negotiated and closed.
Since we represent funds, investors, and companies, we have developed a breadth and depth of knowledge about the key issues viewed from all sides of the table. For example, we can emphasize the practical considerations of organizing and operating a fund, structuring financing terms, or drafting a business plan, while taking into account market conditions and the relative bargaining power of the parties. Our experience with technology businesses allows us to introduce venture capital and angel investors to investment opportunities while, through our relationships with venture capitalists, we are able to introduce emerging companies to prospective investors. We handle a variety of financing transactions, including public offerings, traditional venture capital equity financings, research and development limited partnerships, and mergers and acquisitions, as well as corporate partnering agreements.
In representing companies, we provide corporate services to emerging and established companies in technology-intensive industries such as biotechnology, life sciences, pharmaceuticals, health care, bioinformatics, nanotechnology, e-commerce, medical device manufacturing, interactive media/new media, Internet, information technology, computer hardware, software, semiconductors and telecommunications. With regard to funds, we provide services to private equity funds, those who organize and manage funds, and institutional investors and others investing in funds. This can include fund formation and management, as well as transaction representation. We serve as fund counsel to a number of investment funds, and in recent years have closed a significant number of new private equity funds with total capital raised exceeding $5 billion.
